Terms of Service
These Terms of Service govern your use of the ScrapeZen website and any Custom Data-as-a-Service engagement with ScrapeZen. Please read them carefully before requesting a Proof of Concept or entering into a service agreement.
1. Acceptance of Terms
By accessing scrapezen.com, submitting a "Request a Free Proof of Concept" form, or engaging ScrapeZen for any data extraction or normalization services, you ("Client" or "you") agree to be bound by these Terms of Service and our Privacy Policy.
If you are entering into these terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these terms. If you do not have such authority, or if you do not agree with these terms, you must not use our services.
2. Scope of Services
ScrapeZen provides Custom Data-as-a-Service (DaaS) solutions to business clients. Our services include, but are not limited to:
- LLM-Ready Data Extraction: Structured extraction of publicly available web data formatted for use in Large Language Model (LLM) and Retrieval-Augmented Generation (RAG) pipelines.
- Data Normalization & Enrichment: Standardisation of formats (e.g., ISO 8601 dates), deduplication, entity resolution, and schema alignment.
- Context Engineering: Structuring datasets to optimise AI context windows for RAG and Graph-RAG applications.
- Human-in-the-Loop Verification: Expert review and quality assurance of all delivered datasets by trained data specialists.
- PII Masking: Automated detection and redaction of Personally Identifiable Information prior to dataset delivery.
ScrapeZen operates exclusively as a B2B service provider. Our services are not intended for individual consumers. Each engagement's specific deliverables, timelines, and acceptance criteria are defined in a separate Statement of Work (SoW) or Master Service Agreement (MSA).
3. Ethical Data Sourcing & Acceptable Use
ScrapeZen is committed to responsible and ethical data collection. We adhere to the following standards across all extraction pipelines:
- We respect and comply with robots.txt directives and the terms of service of the websites we access.
- We do not collect data from sources that explicitly prohibit automated access in their legal terms.
- We comply with the General Data Protection Regulation (GDPR), the California Consumer Privacy Act (CCPA), and other applicable global data protection regulations.
- We do not extract, store, or deliver datasets that include unmasked personal data, login credentials, or proprietary content protected by copyright or trade secret law.
Clients may not use ScrapeZen's delivered data for any unlawful purpose, to train models intended to harm, deceive, or discriminate against individuals, or in violation of any applicable law or regulation. ScrapeZen reserves the right to terminate any engagement where the intended use is found to be in breach of these standards.
4. Intellectual Property
4.1 Client Ownership of Delivered Data
Upon receipt of full payment as specified in the applicable SoW or MSA, the Client is granted full ownership of the delivered dataset, including all normalised records, structured schemas, and accompanying documentation. The Client may use, reproduce, distribute, and modify the delivered data without restriction.
4.2 ScrapeZen Retained IP
ScrapeZen retains all intellectual property rights in:
- Proprietary web scraping scripts and extraction frameworks
- AI normalization pipelines, prompt engineering templates, and context engineering methodologies
- Quality assurance processes, schemas, and internal tooling used to produce the delivered data
The transfer of a final dataset to the Client does not constitute a transfer of any of the above tools, methods, or systems. Clients may not reverse-engineer, decompile, or attempt to recreate ScrapeZen's proprietary pipelines.
5. Payment & Subscription Terms
ScrapeZen offers two primary engagement models:
- Project-Based (Flat Rate): A fixed fee for a defined, one-time data extraction and delivery scope. Payment terms are specified in the individual SoW.
- Monthly Retainer (DaaS): A recurring subscription providing ongoing data extraction, normalisation, and delivery on a defined cadence. Billing is monthly in advance.
All fees, payment schedules, late payment terms, and renewal conditions are governed by the Master Service Agreement (MSA) or Statement of Work (SoW) executed between ScrapeZen and the Client. These Terms of Service are subordinate to any executed MSA with respect to billing and payment.
ScrapeZen reserves the right to suspend delivery of services in the event of non-payment until outstanding balances are settled.
6. Limitation of Liability & Disclaimers
ScrapeZen employs human-in-the-loop verification and rigorous quality assurance processes to ensure the accuracy and completeness of delivered datasets. However, the following limitations apply:
- ScrapeZen is not liable for the predictive performance, accuracy, errors, bias, or "hallucinations" of any Artificial Intelligence or Machine Learning model trained, fine-tuned, or otherwise developed using data delivered by ScrapeZen.
- ScrapeZen is not liable for downstream business decisions made on the basis of AI model outputs derived from our datasets.
- ScrapeZen's total cumulative liability to the Client under any engagement shall not exceed the total fees paid by the Client to ScrapeZen in the three (3) months preceding the event giving rise to the claim.
- In no event shall ScrapeZen be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities.
Our services are provided "as-is" with the level of care and accuracy described in the applicable SoW. We make no additional warranties, express or implied, regarding fitness for a particular purpose beyond what is explicitly stated in executed agreements.
7. Governing Law & Amendments
These Terms of Service shall be governed by and construed in accordance with applicable law. Any disputes arising under these terms shall be subject to the exclusive jurisdiction of the courts specified in the applicable MSA.
ScrapeZen reserves the right to update these Terms of Service at any time. We will notify active clients of material changes via email at least 14 days prior to the changes taking effect. Continued use of our services after that period constitutes acceptance of the revised terms.
